Membership Agreement

This Membership Agreement (hereinafter referred to as the "Agreement") is made and shall be effective as on ______________ (hereinafter referred to as the "Effective Date"),

By and between

Briggs Automotive Company Ltd (BAC) (hereinafter referred to as “BAC"), located at Unit 14 Spindus Road L24 1YA Liverpool and,

______________________ (hereinafter referred to as the "Member").

BAC and the Member are collectively referred to as the "Parties" and individually as "Party".

BAC Drivers Club in partnership with BAC seeks to provide unique motorsport experiences along with benefits such as simulator training and arrive & drive.

Health Attestation

The Member attests that they are fully able to participate in the activities of BAC Drivers Club of their choice without undue risk.

Thus, by providing the aforementioned details, the Member hereby shows their desire to become a member of the BAC Drivers Club, pursuant to the terms and conditions of this Agreement.

Terms & Conditions

The following terms and conditions shall define and govern the relevant aspects of this Agreement:

1. Member Access

This Agreement entitles the Member access to 3 days on track on the Anglesey Circuit per year, with a choice of 15 events per year to choose from.

This Agreement entitles the Member access to the driving simulator based at BAC HQ, subject to prior approval from BAC.

2. Membership Fees

The Member has opted for the BAC Drivers Club membership and has agreed to pay the following:

NOTE:

1.Yearly membership has to be paid in 1 lump sum within 14 days of signing the agreement, or in equal monthly instalments. If you decide to pay in equal monthly instalments, your payment is due on the first day of the month.

2. A late fee of £55 (5% of monthly payment) will be charged if payment is not made by the 5th of every month.

3. Term

1. The Membership shall commence on the date of __________ (hereinafter referred to as the "Commencement Date") and shall continue for minimum 12 months, at the end of the 12-month period the Member can renew their membership with a new agreement.

4. Right to Cancellation

To cancel their membership, it must be done within the cooling off period of 14 days. The Member must inform BAC in writing to the address on the first page of this agreement within 14 days of signing this Agreement. If the Agreement is cancelled after 14 days of the signing of the agreement, the terms under “Termination” will apply.

5. Termination

This membership has a minimum term of 12 months (the Minimum Period). By signing this agreement, the member agrees to pay for 12 months and will be liable for the total charge of a 12-month membership (£12,500 if paid in full or £13,200 if paying monthly). If the member would like to end the Membership agreement and is paying monthly, then the member will have to pay an Early Termination Charge which amounts to no more than your Monthly Membership Charges

multiplied by the number of months left in the member’s Minimum Period (12 months). The early termination charge will have to be paid in full within 14 days of ending the agreement.

6. Assumption of Risk and Potential Liability

The Member acknowledges and agrees that there are risks involved with any fitness and physical activity, the use of exercise equipment, and participation in an exercise program, and such risks may include the risk of serious bodily injury or death.

By signing this agreement, the Member knowingly and voluntarily assumes all risks of liability, loss, illness, death, or injury caused or arising out of any use of the Facilities or the participation in any activities by the Member.

7. Damages

The Member shall pay for any damages it incurs to the equipment or premises of BAC and any locations in which BAC Drivers Club participates in, which results from the poor conduct of the Member or its guests.

8. Rules and Responsibilities

1. The Member shall abide by all the safety guidelines and regulations as set forth by BAC Drivers Club while using the facilities or equipment of the membership.

2. Consumption of drugs, alcohol, tobacco, or similar addictive substances must be strictly prohibited when participating in track days at BAC Drivers Club.

3. Breaking into fights that involve physical injury shall not be permitted at any cost and must result in either suspension or termination of membership.

4. Members must respect each other in all circumstances and should take care of the car and premises.

9. Arbitration

In the event of any dispute arising in and out of this Agreement between the Parties, it shall be resolved by Arbitration.

10. Miscellaneous

1. Indemnification: The Member must indemnify BAC harmless of any and all claims, loss, injury, or damages without limitation, as the membership shall be serving as a liability release for the Member.

2. Binding: This Agreement shall be considered binding upon the Member and BAC.

3. Entirety: This Agreement and other annexures, therefore, constitute the entire agreement between the Parties with respect to the matter of subject hereof and thus, supersedes all prior agreements, purchases, understandings, and negotiations, written or phonated, between the Parties.
